Transfer Pricing in Spain: Documentation and Form 232 Checklist
How multinational groups should identify related-party transactions, select methods, document evidence and assess Spanish Form 232.
Spanish related-party transactions must be valued at market value under article 18 of the Corporate Income Tax Law. Compliance is not achieved by attaching a percentage to an invoice: the group must identify the transaction, functions, assets and risks, select a method and retain evidence that can be reconciled with contracts and accounts.
Who and what is related
Article 18 contains the relationship tests, including specified shareholdings and relationships involving entities, shareholders, directors and groups. The perimeter should be rebuilt each year because ownership, directors and transaction flows change.
Typical transactions include goods, management or technical services, financing, guarantees, licences, cost allocations, restructurings and transfers of assets or functions.
A defensible analysis
- Define the transaction and parties in the contract and ledger.
- Document functions performed, assets used and risks controlled.
- Select the most appropriate statutory method for the available evidence.
- Test internal comparables before relying on external databases.
- Explain adjustments, ranges and the tested party.
- Reconcile the result with invoices, withholding, VAT and year-end accounts.
Documentation is not one universal three-file obligation
The content and exemptions for group and taxpayer documentation depend on Spanish law and turnover or transaction circumstances. Country-by-country reporting has a separate statutory perimeter. A multinational should not assume that every Spanish entity must produce the same master file, local file and CbC report.
Form 232
Form 232 is an information return for specified related-party and tax-haven transactions. Its filing triggers and deadline must be checked for the taxpayer's fiscal year. It does not replace the supporting documentation or correct an accounting value by itself.
Year-end controls
- compare actual margins with policy before the accounts close;
- approve and invoice any supported true-up;
- review loan balances, interest, guarantees and cash pooling;
- check that services provide a benefit and are not shareholder activities;
- align Form 232, corporate-tax disclosures and statutory accounts.
